These Terms of Service govern your access to and use of imli.shop, including any purchases made through the website.

The website is operated by IMLI Marketplace LLC, referred to in these Terms as “IMLI,” “we,” “us,” or “our.” By accessing the website or placing an order, you agree to these Terms and any policies referenced within them.

Please do not use the website or place an order if you do not agree to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order through the website.

By placing an order, you represent that:

• The information you provide is accurate and complete.
• You are authorized to use the selected payment method.
• Your purchase is for lawful personal or household use unless otherwise agreed by IMLI.

2. Product Information

We aim to describe and photograph every product as accurately as possible. However, manufacturers and importers may change packaging, formulations, ingredients, nutritional information, product weight, or labeling without notice.

Product information—including ingredients, allergens, nutrition facts, country of origin, package size, and best-by dates—is transcribed from the product packaging available to us.

The physical package you receive is the final and controlling source of product information. Customers with food allergies, sensitivities, dietary restrictions, or medical concerns should always inspect the physical package before consuming a product.

Where a manufacturer does not provide particular information on the package, the product page may state that the information is not shown on the package.

Product photographs are illustrative. Packaging artwork may differ slightly from the version shown online when a manufacturer introduces updated packaging.

3. Best-By Dates and Freshness

The best-by date displayed on a product page reflects the inventory available when the page was last updated. Best-by dates may change when a new inventory batch begins shipping.

The date printed on the physical product package is always the final reference.

We check products for freshness before fulfillment and do not knowingly ship expired products. If the date on the product you receive materially differs from the date displayed online, or the remaining shelf life is not reasonable, contact us with your order number and a photograph of the package.

4. Product Availability

All products are subject to availability.

We may:

• Limit the number of units purchased by one customer.
• Restrict unusually large or suspected resale orders.
• Discontinue a product without notice.
• Substitute updated packaging of the same product.
• Cancel an order when inventory is unavailable.

Adding an item to your cart does not reserve it. An order is not accepted until payment has been successfully processed and we have confirmed the order.

5. Pricing and Payment

Prices are listed in U.S. dollars unless otherwise stated. Applicable taxes and shipping charges are calculated during checkout.

We may change prices, discounts, bundles, free-shipping thresholds, and promotional offers at any time. A price change will not affect an order that has already been accepted, except where there is an obvious or material pricing error.

If we discover a material pricing, discount, or product-listing error after an order is placed, we may:

• Cancel the affected item or order and issue a full refund; or
• Contact you before fulfillment to confirm whether you would like to proceed at the corrected price.

We will not charge an increased price without your agreement.

6. Orders

We reserve the right to refuse, limit, or cancel an order for legitimate reasons, including:

• Product or inventory errors.
• Pricing errors.
• Suspected fraud or unauthorized payment activity.
• Orders placed using inaccurate information.
• Orders that appear intended for unauthorized resale.
• Abuse of promotions, discounts, refunds, or chargebacks.
• Violations of these Terms.

If we cancel an order after payment has been collected, we will refund the affected amount to the original payment method.

7. Shipping

Orders currently ship within the continental United States.

Our expected processing time and available shipping methods are described in our Shipping, Damages & Refunds Policy. Delivery estimates are not guarantees and may be affected by carrier delays, severe weather, address problems, holidays, or other events outside our reasonable control.

If we cannot ship an order within the timeframe stated at purchase, we may contact you with a revised shipment estimate. You may agree to the delay or cancel the unshipped portion of the order for a refund.

Customers are responsible for providing a complete and accurate delivery address. Additional shipping costs caused by an incorrect or incomplete address may be the customer’s responsibility.

8. Damaged, Incorrect, Lost, or Delayed Orders

Please contact support@imli.shop within 48 hours of delivery if an item arrives damaged, unusable, or materially different from what you ordered.

Please include:

• Your order number.
• A description of the issue.
• A photograph of the affected product.
• Photographs of the shipping box and label when relevant.

Depending on the circumstances and available inventory, we may provide a replacement, refund, or other appropriate resolution.

Carrier transit times can occasionally vary. If tracking appears stuck or a package appears lost, contact us and we will help investigate. Depending on the circumstances, we may work with the carrier, send a replacement, or issue a refund.

9. Returns and Refunds

Opened food products cannot be returned because of food-safety considerations.

Unopened products may be returned when permitted under our Shipping, Damages & Refunds Policy. Unless the return results from our mistake or a damaged or defective product:

• The customer is responsible for return-shipping costs.
• Original shipping charges are non-refundable.
• Products must be returned unopened and in their original condition.
• Return requests must be made within seven days of delivery.

Approved refunds are issued to the original payment method. Financial institutions may require additional time to post a refund after we process it.

Our Shipping, Damages & Refunds Policy is incorporated into these Terms. If that policy and these Terms conflict regarding shipping, returns, damages, or refunds, the more specific policy will control.

10. Promotions, Bundles, and Discount Codes

Promotions and discount codes:

• May be subject to additional conditions.
• May expire without notice unless an expiration date is stated.
• Cannot be combined unless expressly permitted.
• Have no cash value.
• May be limited to one use per customer, household, address, or order.
• May be withdrawn or corrected in the event of abuse, fraud, or error.

Bundle discounts apply only to the bundle as sold. Individual bundle components generally cannot be returned or exchanged separately unless an item is damaged, incorrect, or otherwise eligible under our policies.

11. Intellectual Property

The website and its content—including the IMLI name, logos, branding, product photography, graphics, written copy, page design, and original creative materials—are owned by IMLI Marketplace LLC or used with permission.

You may not copy, reproduce, modify, distribute, publish, sell, commercially exploit, or create derivative works from our content without prior written permission.

Manufacturer names, product names, logos, packaging, and trademarks belong to their respective owners. Their appearance on the website does not imply that the manufacturer sponsors or endorses IMLI.

12. Acceptable Use

You may not use the website to:

• Violate any applicable law or regulation.
• Commit fraud or impersonate another person.
• Interfere with the website’s security or operation.
• Attempt unauthorized access to an account, system, or data.
• Introduce malware or harmful code.
• Scrape or collect website content through automated means for commercial use.
• Abuse discounts, refunds, chargebacks, reviews, or customer-support processes.
• Infringe the intellectual-property or privacy rights of IMLI or another party.

We may restrict or terminate access to the website when we reasonably believe these Terms have been violated.

The website may rely on third-party services, including Shopify, payment processors, shipping carriers, analytics providers, and other service providers.

Those services may have their own terms and privacy practices. We are not responsible for third-party websites or services that we do not control, except as required by applicable law.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its content are provided on an “as is” and “as available” basis.

We do not guarantee that:

• The website will always be available or error-free.
• Product descriptions or images will never contain an error.
• A particular product will remain available.
• Delivery will occur by an estimated date.
• The website will be free from every harmful component or interruption.

Nothing in this section limits any warranty or consumer right that cannot legally be excluded.

15. Limitation of Liability

To the fullest extent permitted by applicable law, IMLI Marketplace LLC and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the website, an order, or a product.

To the fullest extent permitted by law, our total liability for a claim relating to a particular order will not exceed the amount paid to IMLI for that order.

These limitations do not apply where liability cannot legally be limited, including liability resulting from fraud, willful misconduct, or other nonwaivable rights under applicable law.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless IMLI Marketplace LLC and its owners, employees, contractors, and agents from claims, losses, liabilities, and reasonable expenses arising from:

• Your infringement of another party’s rights.
• Fraudulent or unauthorized activity associated with your account or order.

This section does not require you to indemnify IMLI for IMLI’s own negligence, misconduct, or violation of law.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.

Any legal action arising from these Terms or your use of the website must be brought in a state or federal court with jurisdiction in Kings County, New York, except where applicable consumer law permits or requires a claim to be brought elsewhere.

Either party may bring an eligible individual claim in small-claims court.

Nothing in these Terms limits any consumer protection or statutory right that cannot legally be waived.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be enforced to the maximum extent permitted by law or modified only as much as necessary to make it enforceable.

20. No Waiver

If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

21. Changes to These Terms

We may revise these Terms periodically. The revised version will be posted on this page with an updated effective date.

Changes will apply prospectively unless applicable law requires otherwise. Your continued use of the website after revised Terms take effect constitutes acceptance of the updated Terms.
